Founding charter

Article I — Name and nature

The organization shall be known as the Small Business Advisory Board (SBAdvisoryBoard). The SBAdvisoryBoard is a private, member-funded commercial association. It is not a federal advisory committee, is not chartered under the Federal Advisory Committee Act, and does not advise, bind, or represent any agency of the United States. Nothing in this charter creates an agency relationship, joint venture, or partnership among members except as expressly declared in an executed teaming agreement.

Article II — Core mandates

The SBAdvisoryBoard exists to pursue four mandates:

1. Elimination of past performance barriers. Pool member capability so that emerging firms may satisfy evaluation factors contemplated by FAR 15.305(a)(2)(iii) and the similarly-situated entity provisions of 13 CFR 125.6.
2. Equitable workshare protection. Require every teaming arrangement formed on the platform to declare transparent labor allocations that respect FAR 52.219-14 limitations on subcontracting, with a minimum of fifty-one percent (51%) of labor performed by the small business prime holding the set-aside.
3. Institutionalized subcontractor past performance. Administer automated performance rating requests consistent with 13 CFR 125.11 so that subcontracted work becomes citable corporate past performance.
4. Data-driven execution. Replace speculative networking with contract-specific matching against live solicitations ingested from public procurement data sources.

Article III — Governance structure

Governance is vested in a Board of Directors composed of one permanent Executive Chair and four rotating Co-Chairs. Norbeck Technologies Inc. serves as the permanent anchor institution and Executive Chair. The Executive Chair supervises the pursuit escrow accounts, adjudicates teaming disputes at first instance, certifies the slate of candidates for each Co-Chair seat, and holds a tie-breaking vote.

The four Co-Chair seats are elected by the general membership to two-year staggered terms. Each seat carries a defined portfolio. A Co-Chair must maintain an active SAM.gov registration and current dues throughout the term; lapse of either vacates the seat.

Article IV — Membership

Membership is open to United States small business concerns with an active registration in the System for Award Management. Admission requires entity verification, execution of the Universal Master Teaming Accord, and payment of dues at the elected tier. Members warrant the accuracy of all representations, including size status, socioeconomic certifications, and past performance records submitted to the platform.

Article V — Discipline

The Board may suspend or expel any member for material misrepresentation of size or socioeconomic status, abandonment of an active proposal, circumvention of the platform to pursue an introduced opportunity outside the guild, or conduct that jeopardizes the award eligibility of another member. Financial consequences are set out in the Bylaws and the Universal Master Teaming Accord.

Article VI — Amendment

This charter may be amended by an affirmative vote of three of the four Co-Chairs with the concurrence of the Executive Chair, followed by written notice to the general membership not less than thirty (30) days before the amendment takes effect.
